1. Introduction & Acceptance of Terms

Welcome to Snapblock ("Platform"), operated by Snapblock Technologies Ltd. ("Company," "we," "us," or "our"). By accessing or using Snapblock — including our website at https://snapblock.ai, our web application, and any related services (collectively, the "Services") — you agree to be bound by these Terms of Use ("Terms").

If you do not agree to these Terms, you must not access or use our Services. These Terms apply to all users of the Platform, including visitors, registered users, and paying customers.

By clicking 'I Agree,' completing registration, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and the Company. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity.

2. Definitions

For the purposes of these Terms:

"User"Any individual or entity that accesses or uses the Platform.
"Subscription"A paid plan granting access to certain features of the Platform.

"Third-Party Services"External platforms or APIs integrated with Snapblock (e.g., Stripe, WhatsApp).

3. Eligibility

To use the Snapblock Platform, you must:

Be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater).
Have the legal capacity to enter into binding contracts.
Not be prohibited from using the Services under applicable laws in your country or region.
Provide accurate, complete, and current registration information.
Not be a person or entity subject to sanctions or export restrictions.

Snapblock is designed to serve small and medium-sized businesses, entrepreneurs, and creators. By using the Platform, you represent and warrant that you meet all eligibility requirements.

4. Account Registration & Security

4.1 Creating an Account

To access the full functionality of Snapblock, you must register for an Account. You agree to:

Provide truthful, accurate, and complete information during registration.
Keep your account information up to date.
Maintain the security and confidentiality of your login credentials.
Notify us immediately at [email protected] if you suspect unauthorized access to your Account.
Accept responsibility for all activities that occur under your Account.

4.2 Account Responsibility

You are solely responsible for all actions taken through your Account. Snapblock is not liable for any loss or damage resulting from your failure to maintain the security of your credentials. You may not share your Account access with third parties or create accounts on behalf of others without authorization.

4.3 One Account Per User

Each individual or business entity may maintain only one active Account unless expressly authorized by Snapblock. Creating multiple accounts to circumvent limits, bans, or restrictions is prohibited.

5. Description of Services

Snapblock provides a no-code app-building platform that enables individuals and businesses to create, launch, and manage web and mobile applications, online stores, and digital businesses. Our Services include:

No-code app and website builder with drag-and-drop functionality.
E-commerce tools including product listings, order management, and checkout flows.
Payment processing integrations (including Stripe and local payment gateways).
Customer relationship management (CRM) tools.
Analytics and business intelligence dashboards.
Customer support and communication tools.
Third-party integrations (WhatsApp, Paystack, Flutterwave, and others).

NOTE: Snapblock is a software platform. We do not provide legal, financial, accounting, or business advisory services. Always consult a qualified professional for such needs.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

6. Subscriptions & Payment Terms

6.1 Pricing Plans

Snapblock offers both free and paid subscription plans. Current pricing is available at https://snapblock.ai/pricing and may be updated from time to time. By selecting a paid plan, you agree to the applicable fees and billing terms.

6.2 Billing

All fees are billed in advance on a monthly or annual basis, depending on the plan selected.
You authorize Snapblock (or its payment processor) to charge your designated payment method on a recurring basis.
Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable in your jurisdiction.
Snapblock may modify pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

6.3 Refund Policy

All subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to paid features until the end of your current billing period. We do not provide prorated refunds for partial billing periods.

6.4 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment is not received within 7 days of the due date, your account may be downgraded to a free plan or suspended. You remain liable for all outstanding fees.

6.5 Transaction Fees

Snapblock may charge transaction fees on payments processed through the Platform. These fees are separate from third-party payment processor fees (e.g., Stripe). Current transaction fee rates are disclosed on our pricing page.

7. Acceptable Use Policy

You agree to use Snapblock solely for lawful purposes and in a manner consistent with these Terms. The following activities are strictly prohibited:

7.1 Prohibited Content

Uploading, posting, or transmitting any content that is illegal, fraudulent, defamatory, obscene, or harmful.
Distributing counterfeit, pirated, or unauthorized products or content.
Selling illegal goods, controlled substances, weapons, or other prohibited items.
Creating or distributing malware, spyware, viruses, or any malicious code.
Infringing on the intellectual property rights of any party.

7.2 Prohibited Conduct

Attempting to gain unauthorized access to any part of the Platform or other users' accounts.
Scraping, crawling, or using automated tools to extract data from the Platform without permission.
Engaging in any activity that disrupts or impairs the Platform's functionality.
Impersonating any person, business, or entity, or misrepresenting your affiliation.
Circumventing any security, access control, or rate-limiting mechanism.
Reselling, sublicensing, or commercializing Snapblock services without authorization.

7.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, removal of content, and/or reporting to applicable authorities. Snapblock reserves the right to take any action it deems necessary to protect the Platform, users, and third parties.

8. User Content

8.1 Ownership

You retain ownership of all Content you create, upload, or submit through the Platform ("User Content"). By submitting User Content, you grant Snapblock a non-exclusive, worldwide, royalty-free license to host, store, display, and process your User Content solely for the purpose of providing and improving the Services.

8.2 Your Responsibility

You are solely responsible for your User Content, including ensuring that it:

Does not infringe on any third party's intellectual property rights.
Complies with all applicable laws and regulations.
Does not contain viruses or malicious code.
Does not violate the privacy or other rights of any individual.

8.3 Content Removal

Snapblock reserves the right (but not the obligation) to review, monitor, and remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise inappropriate. We will not be liable for any failure to remove, or any delay in removing, unlawful content.

9. Intellectual Property

9.1 Our Intellectual Property

The Snapblock Platform — including its design, architecture, code, graphics, trademarks, logos, and all proprietary technology — is owned by Snapblock Technologies Ltd. and protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

9.2 Restrictions

You may not:

Copy, modify, distribute, sell, or lease any part of our Platform.
Reverse engineer, decompile, or attempt to extract source code from the Platform.
Remove or alter any copyright, trademark, or proprietary notices.
Use Snapblock's trademarks, logos, or brand assets without prior written permission.

9.3 Your Apps

The applications and content you build using Snapblock are your intellectual property. Snapblock does not claim ownership over your Apps or the business logic you create through the Platform, provided such Apps comply with these Terms.

9.4 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant Snapblock an unrestricted, perpetual, royalty-free right to use and incorporate such feedback without any obligation to you.

10. Privacy

Your privacy is important to us. Our Privacy Policy, available at https://snapblock.ai/privacy, explains how we collect, use, and protect your personal information. By using the Platform, you agree to the collection and use of your information as described in our Privacy Policy.

You are responsible for ensuring that any personal data you collect from your customers through Apps you build on Snapblock complies with applicable data protection laws, including the GDPR, NDPA (Nigeria), and POPIA (South Africa).

11. Third-Party Services & Integrations

Snapblock integrates with third-party services such as Stripe, Paystack, Flutterwave, WhatsApp, and others. These integrations are provided for your convenience. Your use of third-party services is governed by the respective terms and privacy policies of those providers.

Snapblock:

Is not responsible for the availability, reliability, or security of third-party services.
Does not endorse or warrant third-party products or services.
Is not liable for any loss or damage caused by third-party services.
May discontinue integration with any third-party service at any time.

You are responsible for complying with the terms and conditions of any third-party services you use through the Platform.

12. Disclaimers & Warranties

The Snapblock Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Snapblock expressly disclaims all warranties, including:

Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Warranties that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.
Warranties regarding the accuracy, reliability, or completeness of any content on the Platform.
Warranties that defects will be corrected.

No advice or information obtained from Snapblock or through the Platform creates any warranty not expressly stated in these Terms.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Snapblock, its directors, employees, agents, or affiliates be liable for:

Any indirect, incidental, special, consequential, punitive, or exemplary damages.
Loss of profits, revenue, data, or business opportunities.
Damages resulting from unauthorized access to or alteration of your content or transmissions.
Conduct of third parties on or through the Platform.
Any other matter relating to the Services.

NOTE: In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

Our total aggregate liability to you for all claims arising out of or related to your use of the Platform shall not exceed the greater of (a) the amount you paid to Snapblock in the 12 months preceding the claim, or (b) USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Snapblock and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your use of or access to the Platform.
Your violation of these Terms or any applicable law.
Your User Content or any Apps you build.
Your violation of any third party's rights.

Snapblock reserves the right to assume exclusive control of any matter otherwise subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

15. Termination

15.1 Termination by You

You may cancel your account and terminate your use of the Platform at any time by contacting us at [email protected] or through your account settings. Cancellation takes effect at the end of the current billing period.

15.2 Termination by Snapblock

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. Where practicable, we will provide advance notice.

15.3 Effect of Termination

Your license to use the Platform terminates immediately.
You must cease all use of the Platform.
Outstanding fees become immediately due and payable.
We may (but are not obligated to) delete your account data after a reasonable retention period.
Provisions of these Terms that by their nature should survive termination will remain in effect.

15.4 Data Export

You are encouraged to export your data before account cancellation or termination. Snapblock will make reasonable efforts to provide you with a data export window upon request, but is not obligated to retain your data after account closure.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where the Company is incorporated, without regard to conflict of law principles.

16.2 Dispute Resolution

In the event of a dispute arising out of or in connection with these Terms or the Platform, the parties agree to attempt to resolve the dispute through good-faith negotiation for a period of 30 days before initiating formal legal proceedings.

16.3 Arbitration

If the parties cannot resolve a dispute through negotiation, disputes shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration body in the Company's jurisdiction. The arbitration shall be conducted in English and the decision shall be final and binding.

16.4 Class Action Waiver

You and Snapblock agree that each party may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative action.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and Snapblock regarding the Platform and supersede all prior agreements, representations, and understandings.

17.2 Amendments

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the Effective Date. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms. If you disagree with any changes, you must stop using the Platform.

17.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Snapblock.

17.5 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Snapblock may assign these Terms in connection with a merger, acquisition, or sale of assets.

17.6 Force Majeure

Snapblock shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, government actions, power failures, or internet disruptions.
